8. Services and Policies

Hosting
If Neuweb Solutions LLP determines that a customer's account is utilizing an unacceptable amount of system resources, Neuweb Solutions LLP may temporarily deactivate the account in question. If Neuweb Solutions LLP 's staff deems necessary, an eviction notice may be sent to the customer of an offending account providing them with seven (7) days in which to find another web host. Please note that such account suspension / termination typically only occurs in extreme cases. Neuweb Solutions LLP will be the sole arbiter as to what constitutes a violation of this provision. Because of the nature of this provision, each account will be considered and analyzed individually. At any and all times all data on clients account and passing in and out of the portion of the server being used by the client must be lawful and not violate any other prevision in this document. Such violation is grounds for termination of services without refund.

Failure to fully comply with these terms is grounds for account suspension and/or deactivation (with or without refund, subject to Neuweb Solutions LLP 's discretion). Any accounts and/or servers contained within Neuweb Solutions LLP 's network must adhere to the above policies. We reserve the right to remove any account without prior notice. If we deactivate your account for violating our policy, you will forfeit your rights to a refund and no refund will be given unless at our sole discretion we determine otherwise. Client acknowledges and agrees that there are no refunds for advanced payment. Our normal policy is a warning first, and account deactivation on the second offense, but no warning is required. Termination on the first offense will depend on the severity of such offense as to be determined by Neuweb Solutions LLP. Client also agrees to abide by all terms of service as set forth by our hosting provider and or any other web hosting company we use to provide you with services.

At certain times where Neuweb Solutions LLP sees fit we may offload some or all bandwidth usage, disk storage, and or all other hosting services to a third party. In such event client automatically agrees to be bound by new host's terms of service and policies as set forth by them or by Neuweb Solutions LLP. Typically such data offsetting is done in the event of high traffic volumes, website performance optimization, security breaches, etc.

Pay Per Click Management
Neuweb Solutions LLP cannot be held liable for any changes client makes to clients account based on any written documentation, recommendations over the phone, in person, or any other form of communication whether expressed or implied. Any changes made to a client's account by Neuweb Solutions LLP have been performed in Good Faith with the intention of helping the client meet their objective(s). As such Neuweb Solutions LLP cannot be held responsible for any negative impact including but, not limited to monetary loss as a result of modifications made to clients account by Neuweb Solutions LLP and or its affiliates and or its partners and or its employees and or as a result of taking advice from Neuweb Solutions LLP.

Local SEO, Reputation Management, Search Engine Optimisation and SEO Consultantcy
Neuweb Solutions LLP works hard to optimize and promote clients’ sites on the various search engines using various methods. However, the various search engines do change their algorithms from time to time. As such, there will be no guarantee for ranking of keywords.

Client agrees to hold Neuweb Solutions LLP free of any and all liabilities resulting from inability to deliver keyword rankings, traffic, traffic quality, or failure to meet client requirements. Due to the nature of SEO services, this service is non refundable. Neuweb Solutions LLP reserves the right to change the link building methods at our sole discretion.

Social Media Marketing
Social media marketing, or SMM, is a form of online marketing that leverage on various social media networks such as Facebook and Twitter to build your brand and reach out to your customers. Social media marketing in essence consists of activities involving social sharing of content, videos, and images for brand building and marketing purposes.

Client is required to pass relevant information such as content, images, graphics and videos before start of the project to avoid any delay. Additional content, images, graphics and videos are required periodically and client is required to pass them to us as soon as possible to avoid any delay. If the client requires us to provide these additional content, images, graphics and videos, there will be additional charges involve.

Neuweb Solutions LLP cannot be held liable for any delays if client does not provide the necessary information and materials on time. Client agrees to hold Neuweb Solutions LLP free of any and all liabilities resulting from use of our social media marketing services.

Web Design
Web Design is the process of creating a website which may or may not consists of one or more of the following types or combination of files. This includes but, is not limited to images, css code, php code, html code, source code, MySql, JavaScript, and Java. At the moment, we only provide web design in WordPress and HTML.

Client is required to pass relevant information such as content, images and graphics before start of the project to avoid any delay. Neuweb Solutions LLP cannot be held liable for any delays if client does not provide the necessary information and content on time.

Web Development
Web development is the process of development a new site with enhanced features which are not found in a standard business site or adding new enhancements to a current website such as adding of a blog, ecommerce store or forum.

Client releases Neuweb Solutions LLP of any liabilities as a result of receiving or using the web development services. Client hereby agrees to hold Neuweb Solutions LLP and any person whom has been hired by Neuweb Solutions LLP as an employee or independent contractor free from any liabilities with the exception as to where it may be prohibited by law.

Website Maintenance
Our website maintenance service covers primary the upkeep of your website in terms of doing periodic backups as well as updating content and other information on your website. It does not covers work such as web development, transferring of site to another hosting, etc. We require access to your hosting account and other relevant information to do our work.

Client must understand sometimes a website is down for reasons beyond our control such as hosting server offline, site being hacked, etc. In situations such as these, we will work closely with the parties involved to get your website up ad running as soon as possible. However, Neuweb Solutions LLP do not provide any guarantee how soon the issues can be resolve as these events are beyond our control.

We take great care to keep the client’s access information secure and we have measures in place to prevent data from being leaked. Many times a website can be compromise as a result of security lapse from clients’ sides.

Client releases Neuweb Solutions LLP of any liabilities as a result of receiving or using our website maintenance services. Client hereby agrees to hold Neuweb Solutions LLP and any person whom has been hired by Neuweb Solutions LLP as an employee or independent contractor free from any liabilities with the exception as to where it may be prohibited by law.

Digital Media Buying And Traffic Services
Neuweb Solutions LLP works hard to identify and work with quality traffic service providers. Neuweb Solutions LLP believes in good faith that the client will receive what they have purchased. However, client agrees and understands that traffic services are typically provided by 3rd party companies. Client agrees to hold Neuweb Solutions LLP free of any and all liabilities resulting from inability to deliver traffic, traffic quality, or failure to meet client requirements. Due to the nature of traffic services this service is non refundable. Neuweb Solutions LLP reserves the right to change the traffic provider at our sole discretion.

1. Website Errors: All visitors will be delivered to the URL specified on the order placed by the Client. In the event of an error with the submitted URL, or unavailability of the server or network this URL points to, Client will not hold Neuweb Solutions LLP and or its partner sites responsible for the error. Any visitors delivered to the Client's URL reflecting the error will not be credited or entitled to a refund. In the event of a website error, the Client may contact Neuweb Solutions LLP and inquire as to the possibility of pausing their campaign. However as our partner networks operate differently, client understands that the ability to pause a campaign may not be available.

1. Performance of Advertising: Client understands that Neuweb Solutions LLP does not guarantee sales or leads as a result of their order and will not issue a refund if none are achieved. No guarantees are made of your website's click-through or conversion rate.

Domain Name Acquisition
Client hereby agrees and understands that unless otherwise explicitly stated in writing all domain names acquired on behalf of clients shall remain the property of Neuweb Solutions LLP. The client also agrees that Neuweb Solutions LLP is under no obligation to surrender a domain name for any reason even if such domain name contains the client's personal or company name. Client agrees that at Neuweb Solutions LLP 's discretion we may rent, lease, give away, transfer ownership, or offer for sale any domain name that is under our control at any time. In the event the sale of a domain conflicts with a client's existing service agreement with Neuweb Solutions LLP we may at our sole discretion provide a similar service by using a comparable domain name. Client agrees that it shall be Neuweb Solutions LLP 's sole discretion as to what constitutes a comparable domain client agrees and trusts Neuweb Solutions LLP 's decision.

Graphics
Client releases Neuweb Solutions LLP of any liabilities as a result of receiving or using the graphical services. Client hereby agrees to hold Neuweb Solutions LLP and any person who has been hired by Neuweb Solutions LLP as an employee or independent contractor free from any liabilities with the exception as to where it may be prohibited by law.

Micro Site
A "Micro-Site" is considered to be a relatively small website in terms of the number of pages it has. Micro-sites generally have several web pages that offer highly targeted content and link back to the client's website. The goal of a micro-site is to attract potential customers for the client and or provide quality backlinks to the client's site.

Client hereby understands and agrees that unless otherwise explicitly stated "Micro-Sites" shall remain the sole property of a Neuweb Solutions LLP. Micro-sites are designed with the sole purpose of assisting in the promotion of the client(s) website(s). When a micro-site is purchased, that does NOT give the client the rights to the domain name, access to the web host or rights to the design. Domain names purchased for this purpose shall also be subject to our Domain name acquisition policy.

Other Services
Other services not mentioned in the website may be offered to clients on ad-hoc basis depending on customer requests, needs and requirements of each project.

Client releases Neuweb Solutions LLP of any liabilities as a result of receiving or using these services. Client hereby agrees to hold Neuweb Solutions LLP and any person who has been hired by Neuweb Solutions LLP as an employee or independent contractor free from any liabilities with the exception as to where it may be prohibited by law.

9. Billing, Chargeback, Payment And Refund Policies

Billing
The client will be billed for work before the start of every project or subscription. An invoice will be sent to you to facilitate payment to Neuweb Solutions LLP.

Chargeback
A chargeback, payment dispute filing, and or any other form of payment reversal without the written permission of Neuweb Solutions LLP shall constitute a breach of contract. At which point client waives all rights to a refund whether in part or in whole and no monies will be required to be refunded except where it may be prohibited by law.

Payment
For adhoc services such as SEO consultancy, web design and web development, a 70{dad0e2001bd92301bdd75597580049d5f3e78f0fb915c1fb67126f95e3037c46} down payment is required before the start of work. The remaining 30{dad0e2001bd92301bdd75597580049d5f3e78f0fb915c1fb67126f95e3037c46} is to be paid before handing over of finished project/work.

For monthly services  or services that require subscription such as Hosting, SEO Packages and Website Maintainence, payment is made either yearly or every quarterly. In such cases, clients are required to make payments at least 3 days before the start of work. Failure to adhere to payment deadline will result in project and work being delayed.

Refund
Due to the nature of digital goods and services client agrees that no refunds will be made or are required to be issued except where such denial of refund is prohibited by law. In the event of a refund, such refund will be limited to a maximum of the initial good or service provided less any fees incurred by Neuweb Solutions LLP. All fees for products and services are rounded to the nearest whole dollar or as specified by Neuweb Solutions LLP. This provision shall be void if a superseding contract has been made to the contrary and is signed by all parties involved.

10. Cancellation and Termination of Services Policies
The client has to give 14 days notice in writing for adhoc projects and a month's notice for monthly or yearly subscription. In the event, the client has to cancel or terminate the service due to unforeseen circumstances, we will issue a partial refund of up to 50{dad0e2001bd92301bdd75597580049d5f3e78f0fb915c1fb67126f95e3037c46} of down payment. However, once work for a project has started, there will be no refund even if the client cancel or terminate the service. Please refer to our refund policy above.

Additional Notes

• Client agrees that they may or may not be notified in the event of an update to these terms of service or other legally binding agreements. Client agrees that it is the client's responsibility to periodically check for changes or request notification of any changes that may affect them.

• Client agrees not to use services for illegal or inappropriate means.

• Client agrees to hold Neuweb Solutions LLP free from any and all damages.

• Client agrees that Neuweb Solutions LLP, nor any person under the authority of Neuweb Solutions LLP may be held liable for spelling errors contained in goods and or services provided to the client.

• Client agrees that any and all damages that Neuweb Solutions LLP may be liable for are limited to the original value of the product and or service.

• Client agrees to pay in the currency of SGD (Singapore Dollar) unless otherwise agreed upon prior to payment.

11. Indemnification and Disclaimers
In no event shall Neuweb Solutions LLP or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption,) arising from the use of Neuweb Solutions LLP’s services, even if Neuweb Solutions or a Neuweb Solutions authorized representative has been notified orally or in writing of the possibility of such damage. Neuweb Solutions LLP neither assures nor assumes any liability to any person or entity for the proper performance of services. Neuweb Solutions LLP does not represent or warrant that the services are complete or free from errors, and does not assume, and expressively disclaims, any liability to any person or entity for loss or damage caused by errors or omissions in the service, whether such errors or omissions in the services, whether such errors or omissions result from negligence, accident or other causes. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

In short, when you decide to use our services, you have agreed not to hold Neuweb Solutions LLP or its associates, suppliers and vendors liable for any damages and losses resulting in the use of our services.

12. Governing Law
Any claim relating to Neuweb Solutions LLP's web site and services shall be governed by the laws of the State of Singapore without regard to its conflict of law provisions.
